1. Acceptance of Terms

By accessing and using MindVault ("Service"), you accept and agree to be bound by the terms and provision of this agreement.

2. Description of Service

MindVault is a SaaS application that analyzes conversation transcripts and extracts actionable insights, ideas, and tasks. The Service is provided "as is" and "as available."

3. User Accounts

3.1 Registration

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must be at least 18 years old to use the Service

3.2 Account Security

  • Keep your password secure
  • Notify us immediately of any unauthorized access
  • You are responsible for all activity under your account

4. Bring Your Own Key (BYOK) Model

4.1 API Key Ownership

YOU MUST LEGALLY OWN ALL API KEYS PROVIDED TO MINDVAULT. By submitting an API key to the Service, you represent and warrant that:
  • You are the authorized owner or licensee of the API key
  • You have the legal right to use the API key for the purposes described in these Terms
  • The API key was obtained through legitimate means in compliance with the provider's terms of service
  • You have not acquired the API key through theft, fraud, unauthorized access, or any other illegal means

4.2 Provider Compliance

You confirm that your use of any API key complies with the applicable provider's Terms of Service, including but not limited to:

4.3 Prohibition on Key Resale and Sharing

Users may not:

  • Distribute, sell, lease, or sublicense API keys to third parties
  • Share API keys with unauthorized users
  • Use API keys obtained from third-party resellers or unauthorized sources
  • Allow others to use their API keys through the Service

4.4 User Responsibility for API Keys

You are solely responsible for:

  • All activity conducted using your API keys through the Service
  • Monitoring your API key usage and associated costs via provider dashboards
  • Setting usage limits and budgets in your provider accounts to prevent unexpected charges
  • Rotating and securing your API keys according to security best practices
  • Revoking compromised or stolen API keys immediately

4.5 Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS MINDVAULT and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:
  • Your violation of these Terms
  • Your misuse of API keys, including use of stolen, fraudulent, or unauthorized keys
  • Your violation of any third-party provider's Terms of Service
  • Unauthorized or excessive use of API keys that results in provider charges, rate limiting, or account suspension
  • Any claims by API key providers for unpaid fees, terms violations, or fraudulent activity

4.6 Reimbursement Obligation

YOU AGREE TO REIMBURSE MINDVAULT for any losses, damages, or expenses incurred due to:
  • Provider overage fees resulting from your API key usage
  • Legal fees related to disputes arising from your API key misuse
  • Costs associated with investigating or responding to provider complaints about your API key usage
  • Any fines, penalties, or sanctions imposed by providers due to your violations

4.7 No Liability for Provider Charges

MINDVAULT IS NOT RESPONSIBLE FOR:
  • Any charges incurred through your use of API keys via the Service
  • Provider billing disputes, overage fees, or unexpected costs
  • Loss of service due to provider account suspensions or terminations
  • Provider data breaches, security incidents, or service outages

5. Data Processing and Privacy

5.1 Request Logging Consent

By using the Service, you may optionally consent to request logging. If enabled:

  • MindVault may log metadata about your API requests (provider, model, token count, timestamp)
  • Logging is used for service improvement and security auditing
  • You can withdraw consent at any time via account settings
  • All request logs are automatically deleted after 90 days (GDPR compliance)

5.2 Right to Erasure

You have the right to request deletion of your data at any time:

  • Use the "Delete My Data" button in account settings
  • All request logs will be permanently deleted
  • API key bindings will be removed from our systems
  • This action cannot be undone

5.3 Data Storage

  • API keys are stored encrypted in our database using industry-standard encryption
  • We employ Row-Level Security (RLS) to ensure data isolation
  • Only you can access your API keys and request logs

6. Payment Terms

6.1 Subscriptions

  • Subscriptions are billed monthly or as specified
  • Auto-renewal unless cancelled
  • Cancellation takes effect at end of billing period

6.2 Credits

  • Credits are non-refundable
  • Credits expire as specified in your plan
  • Unused credits do not roll over (unless specified)

6.3 Refunds

  • Subscription refunds: Contact support within 7 days
  • Credit pack refunds: Non-refundable
  • Founder's Lifetime: Non-refundable

7. Acceptable Use

7.1 Prohibited Activities

You agree NOT to:

  • Use the Service for illegal purposes
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful code or malware
  • Attempt to gain unauthorized access
  • Reverse engineer or decompile the Service

7.2 Content

  • You own your content
  • You grant us license to process your content
  • We do not claim ownership of your data

8. Intellectual Property

  • The Service and its content are owned by MindVault
  • You may not copy, modify, or distribute without permission
  • Your content remains your property

9. Privacy (See Section 5 for Data Processing)

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site, to understand our practices.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" without warranties
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid in the last 12 months

11. Termination

11.1 By You

  • You may cancel your account at any time
  • Cancellation is effective immediately for credit packs
  • Cancellation is effective at end of billing period for subscriptions

11.2 By Us

We may terminate or suspend your account if:

  • You violate these Terms
  • You engage in fraudulent activity
  • Required by law

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions.
